Plain English Summary: By using VoxiQa, you agree to these Terms. You are responsible for ensuring your use of VoxiQa complies with applicable call recording and consent laws in your state. 1. Acceptance of Terms
By accessing or using the VoxiQa website (voxiqa.com), platform, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
If you do not agree to these Terms, do not access or use the Service. Your continued use of the Service after any modification to these Terms constitutes your acceptance of the updated Terms.
2. Service Description
VoxiQa provides an AI-powered voice receptionist platform that allows businesses to:
- Route and answer inbound phone calls using AI voice agents
- Book, reschedule, and cancel appointments in connected calendar systems
- Provide callers with information about business services, hours, pricing, and FAQs
- Send automated SMS and email follow-up messages on behalf of the business
- Generate transcripts, summaries, and analytics from call interactions
- Integrate with third-party scheduling, CRM, and calendar platforms
VoxiQa reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to subscribers. We will provide at least 30 days notice before discontinuing any core functionality of a paid subscription.
3. Eligibility
To use VoxiQa, you must:
- Be at least 18 years of age
- Be a business owner, operator, authorized employee, or agent of a legitimate business entity
- Be located in or operating a business in the United States
- Have the legal authority to agree to these Terms on behalf of your business
- Not be prohibited from using the Service under applicable law
VoxiQa is a business-to-business (B2B) service. Consumer accounts and personal use accounts are not permitted.
4. Accounts & Registration
4.1 Account Creation
To access the VoxiQa platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying VoxiQa immediately of any unauthorized access or security breach at security@voxiqa.com
VoxiQa will never ask for your password via email, phone, or any communication outside the platform's secure settings area.
4.3 One Account Per Business
Each business entity may create one primary account. Multi-location businesses may request additional seats or sub-accounts through our enterprise plan. Contact hello@voxiqa.com for details.
5. Subscription, Billing & Cancellation
5.1 Free Trial
Selected waitlist participants will receive a 14-day free trial upon launch. No credit card is required to join the waitlist. A valid payment method will be required to continue service after the free trial period ends.
5.2 Paid Subscriptions
Following the free trial, continued use of VoxiQa requires a paid subscription. Subscription fees are charged monthly or annually in advance, as selected. Pricing will be disclosed clearly before you are asked to enter payment information.
5.3 Early Access Discount
Waitlist participants who qualify for early access will receive a 20% discount applied permanently to their subscription for as long as their account remains active and in good standing. This discount does not apply to add-ons or enterprise plans.
5.4 Billing
By providing a payment method, you authorize VoxiQa to charge the applicable subscription fee on a recurring basis. If a payment fails, we will notify you and provide a grace period of 7 days to update your payment method before suspending service.
5.5 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for cancellations mid-period, except where required by applicable law.
5.6 Refunds
If you experience a material service outage of more than 24 consecutive hours due to VoxiQa's fault, you may request a prorated refund for that period. Refund requests must be submitted within 30 days of the outage. Contact billing@voxiqa.com.
5.7 Price Changes
VoxiQa may change subscription pricing with 60 days notice to current subscribers. You may cancel without penalty during this notice period if you do not agree to the new pricing.
6. Acceptable Use Policy
You agree to use VoxiQa only for lawful, legitimate business purposes. You may not use VoxiQa to:
- Make or facilitate unsolicited telemarketing calls or spam
- Deceive callers in a way that causes harm or violates consumer protection laws
- Collect information from callers without appropriate disclosures
- Violate any applicable federal, state, or local laws, including the Telephone Consumer Protection Act (TCPA), Do Not Call regulations, or state-specific call recording consent laws
- Impersonate another business, person, or entity
- Distribute malware, engage in phishing, or conduct fraudulent activity
- Reverse engineer, decompile, or extract source code from the VoxiQa platform
- Resell, sublicense, or transfer access to the Service without VoxiQa's written consent
- Attempt to gain unauthorized access to VoxiQa's systems or other customers' accounts
- Use the Service in a manner that places an unreasonable load on our infrastructure
VoxiQa reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy without refund.
7. Call Recording Laws & Compliance
Important: Call recording and consent laws vary significantly by state. You are solely responsible for ensuring your use of VoxiQa complies with all applicable federal and state call recording, disclosure, and consent laws. VoxiQa provides tools to assist with compliance but cannot guarantee compliance for your specific situation.
7.1 Your Compliance Responsibility
You are solely responsible for:
- Ensuring that your use of VoxiQa — including AI-answered calls, recordings, and transcripts — complies with the Telephone Consumer Protection Act (TCPA) and all applicable state laws
- Providing appropriate disclosures to callers (e.g., "This call may be recorded" or "You are speaking with an AI system") as required by your state's laws
- Complying with all-party consent states (e.g., California, Florida, Illinois) where both parties must consent to recording
- Maintaining required records of caller consents where applicable
- Complying with HIPAA if your business is a covered entity or business associate
7.2 VoxiQa's Tools for Compliance
VoxiQa provides configurable disclosure settings that can be enabled to play required disclosures at the start of calls. It is your responsibility to enable and configure these settings appropriately for your jurisdiction. VoxiQa's legal team maintains a knowledge base of state-specific call recording requirements available to all subscribers.
8. Data, Privacy & Ownership
8.1 Your Data Ownership
You retain full ownership of all data you provide to VoxiQa, including business configuration data, and all data generated through your use of the Service (call recordings, transcripts, analytics). VoxiQa claims no ownership rights over your data.
8.2 License to VoxiQa
You grant VoxiQa a limited, non-exclusive, royalty-free license to process, store, and use your data solely to provide the Service and as described in our Privacy Policy. This license terminates upon account closure and deletion of your data.
8.3 AI Model Training
VoxiQa will not use your call recordings, transcripts, or customer data to train general AI models without your explicit written consent. Aggregate, anonymized performance metrics may be used to improve service quality.
8.4 Data Portability & Export
You may export your account data at any time from your dashboard. Upon cancellation, you have 90 days to export your data before it is deleted from our systems.
8.5 Privacy Policy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Intellectual Property
9.1 VoxiQa's Intellectual Property
The VoxiQa platform, website, AI models, software, designs, logos, trademarks, and all related content ("VoxiQa IP") are owned by VoxiQa, Inc. and protected by US and international copyright, trademark, patent, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in VoxiQa IP other than a limited license to use the Service as described herein.
9.2 Feedback
If you submit feedback, suggestions, or ideas about the Service ("Feedback"), you grant VoxiQa an irrevocable, perpetual, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without obligation to you. You are not required to provide Feedback.
9.3 Brand Usage
You may not use VoxiQa's name, logo, or branding in any way that suggests endorsement, partnership, or affiliation without our prior written consent.
10. Disclaimers & Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by applicable law, VoxiQa disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy of AI-generated transcripts, summaries, or responses
- Warranties that the Service will meet your specific business or regulatory requirements
AI voice systems are not infallible. VoxiQa does not guarantee that the AI receptionist will handle all calls correctly, book all appointments accurately, or never make errors. You should maintain appropriate oversight of call handling, particularly for critical or time-sensitive situations.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOXIQA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Damages arising from your reliance on AI-generated call transcripts or summaries
- Damages arising from third-party claims related to your use of call recordings
- Service interruptions or failures beyond VoxiQa's reasonable control
In no event shall VoxiQa's total cumulative liability to you exceed the greater of (a) the total amounts paid by you to VoxiQa in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100 USD).
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for certain types of damages. In such jurisdictions, VoxiQa's liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless VoxiQa, Inc., its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your use of the Service or violation of these Terms
- Your violation of any applicable law, including call recording and consent laws
- Your violation of any third-party rights, including privacy rights
- Any dispute between you and a caller, patient, or customer arising from AI-handled interactions
- Any content you provide to VoxiQa for use in the Service (FAQs, scripts, business information)
13. Termination
13.1 Termination by You
You may terminate your account at any time by canceling your subscription in your account settings or by contacting hello@voxiqa.com. Upon termination, your access to the Service will end at the conclusion of your current billing period.
13.2 Termination by VoxiQa
VoxiQa may suspend or terminate your account immediately and without notice if:
- You materially breach these Terms or our Acceptable Use Policy
- Your use of the Service poses a legal, security, or reputational risk to VoxiQa or other users
- You fail to pay any fees due and such failure continues for more than 14 days after notice
- Required by law or a governmental authority
For other violations, VoxiQa will generally provide 14 days notice and an opportunity to cure before termination.
13.3 Effect of Termination
Upon termination: (i) your license to use the Service ends; (ii) we will retain your data for 90 days to allow export before permanent deletion; (iii) provisions of these Terms that by their nature should survive termination (including Sections 9, 11, 12, and 14) will survive.
14. Disputes, Governing Law & Arbitration
14.1 Governing Law
These Terms and any dispute arising from or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before initiating any formal dispute process, you agree to contact VoxiQa at legal@voxiqa.com and attempt to resolve the dispute informally. VoxiQa will attempt to do the same. You and VoxiQa agree to negotiate in good faith for 30 days before escalating.
14.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, with the following exceptions:
- Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened misappropriation or infringement of intellectual property rights
- Either party may bring claims in small claims court if the claim qualifies
Arbitration proceedings shall be conducted in New York City, New York. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.4 Class Action Waiver
YOU AND VOXIQA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
14.5 Venue
For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
15. Changes to These Terms
VoxiQa reserves the right to update these Terms at any time. When we make material changes, we will:
- Post the updated Terms on this page with a revised "Last Updated" date
- Send email notice to the address associated with your account at least 30 days before the changes take effect (for material changes)
- Display a banner notification in your dashboard
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the effective date.
